Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of payUnexa’s payment products, hosted checkout, payment links, APIs, and websites (together, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are and what we provide

payUnexa provides payment infrastructure that lets businesses (“Business Users”) accept and manage payments from their customers (“End Customers”). We act as a payment technology provider. We are not a party to, and are not responsible for, the underlying sale of goods or services between a Business User and an End Customer.

2. Eligibility and accounts

You must be at least 18 years old and able to form a legally binding contract to use the Services. Access to the payUnexa console is available to approved businesses only; there is no public sign-up. We may approve, decline, suspend, or revoke access at our discretion, including where required by our Financial Partners or applicable law.

You are responsible for keeping your credentials secure and for all activity that occurs under your account. Notify us promptly of any suspected unauthorized use.

3. Acceptable use

• Do not use the Services for unlawful, fraudulent, deceptive, or prohibited transactions.
• Do not use the Services for any business or activity restricted by our Financial Partners or by card network rules.
• Do not attempt to probe, scan, disrupt, or breach the security or integrity of the platform, or circumvent access controls.
• Do not submit payment credentials that are not yours or that you are not authorized to use.
• Do not misuse the Services to infringe the rights of others or to transmit malware.

4. Payments, verification, and disputes

Transactions may be subject to identity verification, manual review, risk scoring, and step-up authentication such as 3-D Secure. We may decline, delay, hold, or reverse a payment where we reasonably suspect fraud, a breach of these Terms, or a violation of applicable law or network rules. Refunds, chargebacks, and disputes are handled in accordance with the applicable Business User’s policy, our agreements, and card network rules.

5. Fees

Fees for the Services, where applicable, are set out in a separate agreement between payUnexa and the Business User. End Customers are charged the amount presented at checkout by the relevant Business User.

6. Intellectual property

The Services, including all software, text, and design, are owned by payUnexa or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.

7. Third-party services

The Services rely on Financial Partners and other third parties to authorize and settle payments. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

8. Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, payUnexa is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from or related to your use of the Services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify and hold payUnexa harmless from claims, losses, and expenses arising from your breach of these Terms, your violation of law, or your misuse of the Services.

11. Suspension and termination

We may suspend or terminate access to the Services at any time if you breach these Terms, if required by law or our Financial Partners, or to protect the security of the platform. Provisions that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which the responsible payUnexa entity is established, without regard to conflict-of-laws principles. Courts of that jurisdiction will have exclusive jurisdiction over disputes, subject to any mandatory rights you have under local law.

13. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above indicates when they were last revised. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
